Overview

The Associate General Counsel provides advice and counsel regarding a broad range of legal matters, and is primarily responsible for overseeing contract preparation, review, and negotiation across multiple business areas, including vendor/supplier agreements, customer agreements, volume commitment agreements, leases, construction contracts, and terms and conditions of sale. This role collaborates closely with internal stakeholders and external parties to ensure contracts align with the company’s legal, operational, and strategic goals. Additionally, the Associate General Counsel advises on contract disputes and supports the company’s transactional legal needs.

Responsibilities

  • Support the Chief Legal Officer & General Counsel in overseeing the legal aspects of the company. Implement short/long-term strategies at the direction of the CLO/GC that may impact the company’s legal function. Recognize when to elevate certain matters to the attention of CLO/GC.
  • Prepare, review, and negotiate contracts and agreements across various business functions, including sales, IT, marketing, manufacturing, and operations.
  • Provide legal advice on contract disputes and risk mitigation strategies related to transactional agreements.
  • Oversee and manage the company’s intellectual property (IP) portfolio, ensuring appropriate protections and risk management.
  • Draft, negotiate, and review commercial contracts, including non-disclosure agreements (NDAs), service agreements, and other commercial documents.
  • Collaborate with internal teams (e.g., Sales, Marketing, IT, Manufacturing and Operations) to understand business objectives and reflect those in contracts.
  • Manage contract compliance, including monitoring deadlines, obligations, and risks, to ensure proper contract execution and fulfillment.
  • Provide strategic advice and support to business leaders regarding contracts and subcontracts with both governmental and non-governmental organizations.
  • Stay informed of relevant laws and regulations to ensure contracts comply with all applicable legal requirements.
  • Support the business in responding to legal disputes that arise from contract issues or breaches.
  • Coordinate legal efforts with the company’s outside counsel.
  • May lead cross-functional teams or projects. Works independently, with regular guidance from the CLO/GC.

Qualifications

  • Juris Doctor (JD) from an accredited law school
  • Minimum of seven (7) years of legal experience, with broad experience in contract preparation, negotiation, and management across multiple functions.
  • Admission to practice law in at least one U.S. jurisdiction.
  • Valid attorney’s license.
  • Intermediate knowledge of MS Office (Word, Excel and PowerPoint).
  • Oral and written communication skills. Research skills. Leadership skills.

Preferred Qualifications:

  • Experience in managing intellectual property matters.

Physical Demands/Work Environment:

  • Primarily office-based with minimal travel required (less than 10%).
  • Hearing, seeing, sitting, standing, talking, typing, visual acuity, walking.
  • Ability to work under tight deadlines and manage competing priorities in a fast-paced business environment.
